TORONTO, ON — January 13, 2026 — Leads & Copy — Global Atomic Corporation (TSX:GLO)(OTCQX:GLATF)(FRANKFURT:G12) has announced an agreement with Red Cloud Securities Inc. for an underwritten “bought deal” offering, in addition to the previously announced non-brokered private placement from January 12, 2026.
Red Cloud will purchase for resale 28,409,091 units of Global Atomic at C$0.88 per unit, resulting in gross proceeds of approximately C$25,000,000 for Global Atomic.
Each unit comprises one common share of the company and one common share purchase warrant. Each warrant allows the holder to purchase one common share at C$1.15, exercisable any time up to 36 months following the closing date.
Global Atomic has granted Red Cloud an over-allotment option, exercisable within 30 days after the closing date. This option allows Red Cloud to purchase up to an additional 15% of the units sold in the underwritten offering, at the offering price, to cover over-allotments or for market stabilization.
The units will be sold via a short-form prospectus filed with securities regulatory authorities in all Canadian provinces except Québec, in compliance with National Instrument 44-101. Sales will also occur (i) in the United States, or to U.S. persons, through private placement exemptions under the U.S. Securities Act of 1933; and (ii) in jurisdictions outside Canada and the United States via private placement, following all applicable laws, without the need for a prospectus or registration statement.
Global Atomic plans to allocate the net proceeds from the brokered offering to advance its Dasa Project and for general working capital.
The brokered offering is expected to close around January 29, 2026, subject to agreement between Global Atomic and Red Cloud and pending necessary regulatory approvals, including approval from the Toronto Stock Exchange.
