Fiddlehead Resources (TSXV:FHR) Announces Shares-for-Debt Transaction and Stock Options Grant

CALGARY, AB — January 3, 2026 — Leads & Copy — Fiddlehead Resources Corp. (TSXV: FHR) has announced a shares-for-debt transaction, the grant of stock options, and a related early warning disclosure.

The company will settle outstanding indebtedness of $242,161.60 through the issuance of 4,843,232 common shares at a deemed price of $0.05 per share, effective December 31, 2025. These shares will be subject to a hold period of four months from the closing date. The debt settlement is pending approval from the TSX Venture Exchange (TSXV).

Fiddlehead has also granted 300,000 options to purchase common shares to a director of the company. The options were issued with an exercise price of $0.20 per share and have a 10-year expiry.

Participation by certain directors and officers in the debt settlement and option grant constitutes “related party transactions” under Multilateral Instrument 61-101. The company intends to rely on exemptions from formal valuation and minority shareholder approval requirements, as the fair market value of the subject matter and consideration for the transaction are not expected to exceed 25% of the company’s market capitalization.

Brent Osmond, the CEO and a director of Fiddlehead, acquired 4,843,232 common shares through the debt settlement. Before this, Mr. Osmond owned or controlled 2,397,667 common shares, 375,000 warrants, and 950,000 options, representing approximately 3.6% of the issued shares on a non-diluted basis and 5.5% on a partially diluted basis. After the settlement, he owns or controls 7,240,899 common shares, 375,000 warrants, and 950,000 options, representing approximately 10.1% of the issued shares on a non-diluted basis and 11.8% on a partially diluted basis.

The securities acquired by the related person are aggregated with Mr. Osmond’s holdings, as he is deemed to exercise control or direction over such securities. Mr. Osmond acquired the common shares for investment purposes and may acquire additional shares or dispose of them in the future, subject to market conditions and other opportunities.
