Exco Technologies (TSX:XTC) Announces TSX Approval for Normal Course Issuer Bid

TORONTO, Ontario — February 18, 2026 — Leads & Copy — Exco Technologies Limited (TSX: XTC) announced that the Toronto Stock Exchange (TSX) has approved its normal course issuer bid (NCIB). The company may purchase up to 1,706,558 common shares for cancellation between February 20, 2026, and February 19, 2027.

The maximum number of shares Exco can purchase represents 10% of the company’s public float of 17,065,583 shares as of February 8, 2026. As of the same date, Exco had 37,891,331 common shares issued and outstanding.

Purchases under the NCIB will occur through the TSX and alternative Canadian trading systems at prevailing market rates, with all acquired shares being cancelled. Exco will determine the actual number of shares purchased and the timing of these purchases. Any purchases will align with TSX rules and policies.

During the most recent six-month period, the average daily trading volume for Exco’s common shares on the TSX was 19,726 shares. Therefore, Exco can repurchase a maximum of 4,931 shares, representing 25% of the average daily trading volume, during any trading day. Additionally, Exco can make a block purchase once per calendar week of shares not directly or indirectly owned by company insiders, according to TSX policies. The company will use available cash and/or bank facilities to fund the purchases.

Under a previous NCIB, Exco purchased 572,656 common shares on the open market at a weighted average price of $6.62 per share between February 20, 2025, and February 19, 2026.

Exco’s Board of Directors believes that the company’s underlying value may not always be reflected in the market price of its common shares. They believe that repurchasing shares through the NCIB can be a good use of the company’s financial resources, protecting and enhancing shareholder value during times of opportunity or volatility. The Board has determined that the NCIB is in the best interest of the Company and its shareholders.
