EverGen (TSXV:EVGN) Closes $13 Million Debt Facility and Private Placement

VANCOUVER, BC — January 16, 2026 — Leads & Copy —

EverGen Infrastructure Corp. (TSXV: EVGN) (OTCQB: EVGIF) has completed a $13.0 million asset-level debt facility with Farm Credit Canada (FCC) through its subsidiary Fraser Valley Biogas Ltd. (FVB). The company also repaid the majority of its corporate debt facility and closed the second tranche of its non-brokered private placement, raising approximately $1.9 million.

The Refinancing Transactions are a key step in EverGen’s strategic repositioning, improving the company’s financial stability as it heads into 2026. These transactions include aligning financing with operating cash flows by shifting to long-term, asset-level debt at FVB, significantly reducing overall debt service costs. The company has paid down $12 million in corporate-level debt, bringing the remaining balance to approximately $1.1 million. The transactions also increase near-term financial flexibility through additional equity proceeds and an operating line of credit.

CEO of EverGen Infrastructure Corp., Chase Edgelow said the deal aligns financing with the company’s assets, signals institutional confidence, and provides flexibility to accelerate growth. Edgelow also expressed gratitude for the support of shareholders and emphasized the company’s focus on building a scalable renewable natural gas platform that focuses on organic and agricultural waste solutions. The company sees material upside as the business delivers on operational milestones.

FVB has finalized a credit agreement with FCC for a $13.0 million term loan and a $250,000 operating line of credit. The term loan proceeds will primarily be used to repay $12.0 million under the company’s corporate debt facilities with Roynat Inc. and Export Development Canada, and to support EverGen’s balance sheet.

The move is expected to reduce EverGen’s annual debt service costs.

EverGen has also closed the second tranche of its non-brokered private placement, raising approximately $1.9 million through the issuance of 3,152,441 common shares at $0.60 per share. The proceeds from this offering will be used to repay certain outstanding indebtedness, for working capital, and for general corporate purposes.

All securities issued in connection with the Offering are subject to a statutory hold period of four months and one day from the date of issuance in accordance with applicable securities laws. The Offering remains subject to final acceptance of the TSX Venture Exchange.

Certain directors and officers of the Company acquired Common Shares under the Offering. Common Shares acquired by such insiders are considered “related party transactions” for the purposes of National Instrument 61-101.

EverGen, headquartered on the West Coast of Canada, is an established independent renewable energy producer focused on Renewable Natural Gas, waste to energy, and related infrastructure projects. The company is focused on growth in Canada, with continued expansion expected across other regions in North America and beyond.
