VANCOUVER, British Columbia — January 15, 2026 — Leads & Copy — Endeavour Silver Corp. has completed the sale of the Bolañitos silver and gold mine to Guanajuato Silver Company Ltd., according to a recent announcement.
The sale, executed under a share purchase agreement, involves Guanajuato Silver acquiring all issued and outstanding shares of Mina Bolañitos, S.A. de C.V., which holds the Bolañitos Mine in Guanajuato, Mexico.
Endeavour Silver Corp. received US$40 million as part of the deal. The consideration included US$30 million in cash and US$10 million in Guanajuato Silver shares, priced at US$0.2709413 (C$0.3815) per share.
Guanajuato Silver will also make two contingent payments to Endeavour, each amounting to US$5 million, upon the Bolañitos Mine achieving two (2) million and four (4) million ounces of silver equivalent production. The payments will be split evenly between cash and Guanajuato Silver shares.
The number of contingent shares is capped at 9.9% of Guanajuato Silver’s issued and outstanding shares. Any remaining balance of the contingent payment will be settled in cash if this limit is reached.
Endeavour and Guanajuato Silver have also entered into an investor rights agreement, which includes provisions for voting rights, participation rights, and transfer restrictions on the shares.
Endeavour did not pay any finders’ fees in connection with the Agreement.
Dan Dickson, Chief Executive Officer, said the sale allows Endeavour to focus on its core silver assets and strategic growth. Dickson added that Guanajuato Silver is well-positioned to further develop Bolañitos.
Endeavour is a mid-tier silver producer operating three mines in Mexico and Peru, with exploration projects in Mexico, Chile, and the United States.
