VANCOUVER, BC — February 10, 2026 — Leads & Copy — Earthwise Minerals Corp. (CSE:WISE)(FSE:966) has completed its non-brokered private placement financing, raising gross proceeds of $601,804.49 through the issuance of 17,194,414 non-flow through units at $0.035 per unit, the company announced today.
Each unit comprises one common share and one common share purchase warrant. Each warrant allows the holder to purchase one common share at $0.05 for 36 months from the issuance date. The company issued 17,194,414 warrants in the offering, which was initially announced January 30, 2026.
The company plans to use the net proceeds for general working capital and exploration at the Iron Range Gold Project.
No finders’ fees were paid in connection with the offering. All securities issued are subject to a four-month-and-one-day hold period from the issuance date, in accordance with Canadian securities laws.
Karen Mate, a director of Earthwise Minerals, acquired 337,143 units in the offering, which constituted an “related party transaction”. The Insider Subscription was exempt from the formal valuation and minority shareholder approval requirements because the value of shares and consideration paid did not exceed 25% of the company’s market capitalization. A material change report was not filed more than 21 days prior to closing because the Insider Subscription was not finalized until shortly prior to the completion of the Offering.
The securities issued in connection with the offering have not been registered under the United States Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption.
In other news, Earthwise Minerals Corp. announced the appointment of Karen Mate to the Board of Directors and Andy Randell as Geological Advisor to the newly created Advisory Board. Solomon Kasirye resigned as director of the Company, effective immediately.
Karen Mate brings over 30 years of experience in the Canadian investment industry, with leadership roles at Scotia Capital, Casimir Capital, Dundee Capital Markets, Marleau Lemire Securities, and National Bank Financial. She founded Capital Markets Advisory CA in 2016, advising junior mining companies on capital raising, strategic communications, corporate development, and market strategy. Mate has been directly involved in raising approximately $1 billion in equity capital.
Andy Randell, a professionally registered geoscientist, has over 20 years of experience in mineral exploration, technical leadership, consulting, and industry governance. He founded SGDS Hive, a geoscience consultancy. Randell currently serves on the Board of Directors of the Association for Mineral Exploration (AME) and is the Chair of a newly formed advocacy body within Engineers and Geoscientists British Columbia (EGBC). He also founded Aeonian Resources Corp. and was awarded the Bedford Young Mining Professional Award by the Canadian Institute of Mining, Metallurgy and Petroleum (CIM).
