WALTHAM, Mass. — Dec. 09, 2025 — Leads & Copy — Dyne Therapeutics Inc. (Nasdaq: DYN) has announced the pricing of its upsized underwritten public offering of common stock, expected to generate gross proceeds of $350.0 million. The offering includes 18,980,478 shares priced at $18.44 each.
All shares in the offering are being sold by Dyne. The company also granted the underwriters an option to purchase up to 2,847,071 additional shares within a 30-day period, subject to the public offering price less underwriting discounts and commissions.
The offering is expected to close around December 11, 2025, pending standard closing conditions.
Morgan Stanley, Jefferies, Stifel and Guggenheim Securities are serving as the joint book-running managers for this offering.
The offering is based on a shelf registration statement on Form S-3, previously filed with the SEC on March 5, 2024, and effective upon filing. The offering will be made through a prospectus supplement and accompanying prospectus that are part of the registration statement.
