Dye & Durham Announces Failure-to-File Cease Trade Order

TORONTO, ON — December 15, 2025 — Leads & Copy — The Ontario Securities Commission (OSC) has issued a failure-to-file cease trade order (FFCTO) against Dye & Durham Limited (TSX: DND) due to the company’s failure to file its FY 2025 audited consolidated financial statements, related management discussion and analysis, and CEO/CFO certificates.

Dye & Durham was also delayed in filing its Q1 FY 2026 unaudited consolidated financial statements, related management discussion and analysis, and CEO/CFO certificates.

The OSC previously granted a management cease trade order (MCTO) that prohibited Dye & Durham’s Chief Executive Officer and Chief Financial Officer from trading securities, but it was revoked after the company failed to meet the December 13, 2025, MCTO Deadline.

The FFCTO prohibits trading of all Dye & Durham securities in Canada. An exception is provided for beneficial securityholders who are not insiders or control persons and who sell securities acquired before December 15, 2025, through a foreign organized regulated market and an investment dealer registered in Canada, in accordance with applicable securities legislation.

The FFCTO will remain in effect until the Required Filings are filed. The filing of the Required Filings within 90 days of the FFCTO would constitute an application to revoke the FFCTO. If the Required Filings are not made within 90 days of the FFCTO, the Company will apply to the OSC to revoke the FFCTO.
