Brossard, Quebec — December 10, 2025 — Leads & Copy — Diagnos Inc. has successfully closed its oversubscribed private placement, raising gross proceeds of $4,001,178.60. The offering involved the sale of 13,337,262 units at a price of $0.30 per unit, including the exercise of the over-allotment option.
Centurion One Capital Corp. led the offering as lead agent and sole bookrunner. Legal counsel for Diagnos was provided by Borden Ladner Gervais LLP, while MLT Aikins LLP served as counsel for the Lead Agent.
Diagnos Inc. President André Larente said the company is very pleased to announce the closing of this oversubscribed financing.
Larente added that Centurion One Capital anchored the round and brought together an outstanding group of strategic investors.
Larente also noted that their world-class team executed flawlessly, allowing them to capitalize on strong investor demand to complete the offering on an upsized basis.
The net proceeds from the offering will be used to support key regulatory initiatives with Health Canada and the FDA, accelerate product development, and expand commercial deployments, according to Diagnos Inc.
Each unit in the offering consists of one common share of Diagnos Inc. and one share purchase warrant. The shares and warrants issued are subject to a statutory hold period ending on April 6, 2026.
Each warrant entitles the holder to purchase one additional share at a price of $0.40 for eighteen months following the closing date.
The company paid a cash commission of $153,974.40 and issued 666,863 units as a corporate finance fee. Additionally, 513,248 broker warrants were issued, each entitling the holder to acquire a unit at the Issue Price on or before June 6, 2027.
Certain related parties, including two directors and one officer of Diagnos Inc., participated in the offering, acquiring 316,665 units on the same terms as other subscribers. The company relied on exemptions in Multilateral Instrument 61-101 for these transactions.
Diagnos Inc. utilizes artificial intelligence for the early detection of critical eye-related health problems, aiming to improve diagnostic accuracy and patient outcomes globally.
