Toronto, Ontario — January 9, 2026 — Leads & Copy — Cybeats Technologies Corp. and Scryb Inc. have announced the closing of their debt settlement transaction. The settlement, initially announced on December 31, 2025, involved Cybeats settling $1,200,000 in debt under a secured debenture held by Scryb.
According to the terms of the Debt Settlement, Cybeats has issued 10,000,000 common shares at a price of $0.12 per share to Scryb. These shares are subject to a statutory four-month-and-one-day hold period, as mandated by applicable securities laws.
The transaction does not result in any new control person for Cybeats. However, because Scryb is considered a control person of Cybeats, the Debt Settlement was classified as a “related party transaction” under Multilateral Instrument 61-101 – Protection of Minority Securityholders in Special Transactions (“MI 61-101”).
Both companies relied on exemptions from the formal valuation and minority shareholder approval requirements outlined in sections 5.5(a) and 5.7(1)(a) of MI 61-101. These exemptions were applicable because the fair market value of the Debt Settlement and the issued common shares did not exceed 25% of each company’s respective market capitalization.
Cybeats and Scryb believe the completion of the Debt Settlement strengthens Cybeats’ financial position and will support its ongoing operational and growth initiatives.
