Conavi Medical (TSXV:CNVI) Provides Update on Public Offering

TORONTO, Ontario — January 8, 2026 — Leads & Copy — Conavi Medical Corp. (TSXV: CNVI) is providing an update on its previously announced public offering of common shares and/or pre-funded common share purchase warrants.

The offering involves a minimum of 26,666,667 securities and a maximum of 33,333,333 securities at a price of $0.45 per common share or $0.44999 per pre-funded warrant, potentially raising gross proceeds between $12,000,000 and $15,000,000.

Each pre-funded warrant allows the holder to acquire one common share at an exercise price of $0.00001 per common share. These warrants do not expire and may be exercised on a “net” or “cashless” basis.

The company intends to use the net proceeds to obtain US FDA 510(k) clearance for its next-generation Novasight Hybrid system and complete a targeted market release in the United States. Funds will also be allocated for working capital and general corporate purposes.

The offering is expected to be completed under an amended & restated agency agreement with Bloom Burton Securities Inc. The company filed an amended and restated final short form prospectus on January 7, 2026, with securities regulators in Alberta, British Columbia, and Ontario.

The offering may be completed in one or more tranches and is initially expected to close on or about January 13, 2026, subject to customary closing conditions, including regulatory and stock exchange approvals, such as approval from the TSX Venture Exchange.

Conavi Medical will pay the agent a cash fee equal to 6.5% of the gross proceeds from the offering and grant compensation options equal to 6.5% of the aggregate number of securities issued. Each compensation option allows the holder to buy one common share at the same price as in the offering, exercisable until 24 months following the closing date. A reduced cash commission of 3.25% and no compensation options will apply to securities sold to certain purchasers on an agreed-upon president’s list.

The securities may also be offered via private placement in certain jurisdictions outside of Canada, in compliance with applicable securities laws.

The securities have not been registered under the U.S. Securities Act of 1933 and may not be offered or sold to persons in the United States except under an exemption from the registration requirements.
