Collective Metals Inc. (CSE:COMT) Announces Amended Terms for Private Placement

VANCOUVER, British Columbia — January 9, 2026 — Leads & Copy —

Collective Metals Inc. has announced an amendment to the terms of its non-brokered private placement financing, initially disclosed on January 8, 2026. The financing aims to generate gross proceeds of up to $1,499,999.93.

The company had previously announced its intention to conduct a non-brokered private placement of up to 17,647,058 units, with each unit priced at $0.085. Each unit comprises one common share of the company and one transferable common share purchase warrant. Each warrant allows the holder to purchase an additional share at an exercise price of $0.10 within two years from the closing date.

The warrants include an accelerated expiry clause. If the company’s shares close at or above $0.20 for ten consecutive trading days on the Canadian Securities Exchange (CSE), the company can expedite the warrant’s expiry date. This would be done by issuing a news release, after which the warrants would expire 30 calendar days from the announcement.

The company has amended the terms of the warrants, increasing the exercise price from $0.10 per share to $0.105 per share. All other terms of the private placement remain as initially disclosed.

The units will be offered to qualified investors under exemptions from prospectus and registration requirements of applicable securities legislation. The company may pay finder’s fees to eligible finders, compliant with securities laws and CSE policies. All securities issued under the private placement will be subject to a four-month and one-day hold period.

This announcement does not constitute an offer to sell or a solicitation of an offer to buy securities in the United States. The securities have not been and will not be registered under the U.S. Securities Act of 1933 or any state securities laws. They may not be offered or sold within the United States or to U.S. Persons unless registered under the 1933 Act and applicable state securities laws, or unless an exemption from such registration is available.
