VANCOUVER, British Columbia — March 2, 2026 — Leads & Copy — Collective Metals Inc. (CSE: COMT | OTC: CLLMF | FSE: TO1) announced a non-brokered private placement to raise up to C$1,500,000 through the sale of up to 7,500,000 flow-through units at C$0.20 each.
The company plans to allocate the proceeds from the offering towards exploration activities at its Rocas uranium project. Each flow-through unit will comprise one common share, designated as a “flow-through share” under the Income Tax Act (Canada), and one-half of a common share purchase warrant. Each whole warrant will allow the holder to buy one common share at C$0.25 for 24 months from the issuance date.
The warrants include an accelerated expiry clause. If the company’s common shares close at or above $0.30 for ten consecutive trading days on the Canadian Securities Exchange, Collective Metals may expedite the warrant expiry date. This would be done by issuing a news release, after which the warrants would expire 30 calendar days later.
Collective Metals may pay finder’s fees to eligible finders, following the Exchange’s policies. The flow-through units are offered under the “accredited investor” and “minimum amount investment” exemptions as per National Instrument 45-106 – Prospectus Exemptions across all Canadian provinces. The securities from the flow-through units sale will have a statutory hold period in Canada, ending four months and one day after the offering’s closing date.
The gross proceeds from the flow-through units sale will fund eligible “Canadian exploration expenses,” qualifying as “flow-through mining expenditures” under the Income Tax Act (Canada). These expenditures are related to the Rocas uranium project in Canada. All qualifying expenditures will be renounced to the flow-through units subscribers, effective December 31, 2026.
The offering is conditional on receiving all necessary approvals, including approval from the Exchange.
Collective Metals Inc. is a resource exploration company focused on critical and precious metals exploration in North America. Its Rocas project covers 4,002 hectares, 75 kilometers southwest of the Key Lake Mine and Mill facilities along Highway 914, and about 72 kilometers south of the Athabasca Basin’s present-day margin. The project features uranium showings, including historical mineralized outcrop grab samples along approximately 900 metres of strike length, grading up to 0.5 wt.% U3O8. None of the historical uranium occurrences have been drill-tested.
