Clear Blue Technologies (TSXV:CBLU) Seeks to Increase Private Placement, Extends Price Protection

Toronto, Ontario — January 8, 2026 — Leads & Copy — Clear Blue Technologies International Inc. (TSXV: CBLU) has applied to the TSX Venture Exchange to increase its previously announced non-brokered private placement to 24,000,000 units and extend its price protection to January 29, 2026, to complete subscriptions.

The offering now consists of up to 24,000,000 units, each comprising one common share and one common share purchase warrant, priced at $0.05 per unit. Each warrant is exercisable for 36 months at a strike price of $0.06, with gross proceeds up to $1.2 million.

The first tranche closed on November 26, 2025, involving the sale of 6,000,000 units, and the second tranche closed on January 8, 2026, with 9,474,000 units sold, resulting in total gross proceeds of $793,700.

In connection with the initial tranches, the company paid finder’s fees totaling $23,730 in cash and issued 474,600 finder’s warrants to certain finders. Each finder’s warrant allows the holder to purchase one common share at $0.06 for 36 months from the grant date.

The offering’s closing is contingent upon receiving all necessary regulatory approvals, including the TSXV’s approval. Securities issued are subject to a four-month and one-day hold period from the issuance date, as per applicable securities laws.

Certain insiders participated in the offering, making it a related-party transaction under Multilateral Instrument 61-101. The company will rely on exemptions from formal valuation and minority shareholder approval requirements under subsections 5.5(a) and 5.7(1)(a) of MI 61-101, as insider participation will not exceed 25% of the company’s market capitalization.
