Cerrado Gold Inc. Closes C$10 Million Private Placement with Eric Sprott

TORONTO, Ontario — September 3, 2026 — Leads & Copy — Cerrado Gold Inc. has successfully closed a strategic non-brokered private placement financing, raising C$10 million in gross proceeds from Mr. Eric Sprott. The financing, previously announced, involved the issuance of 4,000,000 units at C$2.50 per unit to an entity owned and controlled by Mr. Sprott.

Each unit comprises one common share and one-half of a common share purchase warrant. Each whole warrant grants the holder the right to acquire an additional common share at an exercise price of C$3.35 per share for a period of 24 months following the closing date. The transaction is currently awaiting final acceptance from the TSX Venture Exchange (TSXV).

The securities issued under this private placement are subject to a four-month-and-one-day statutory hold period from the date of issuance, in compliance with Canadian securities laws and TSXV policies. Cerrado Gold plans to allocate the net proceeds from this financing towards working capital and general corporate purposes.

In a separate announcement, Cerrado Gold corrected details regarding an investor services agreement. The service provider’s name was mistakenly reported as ENGAGE 360 in a previous press release dated August 18, 2026. The corrected information identifies the service provider as Investor Events Inc. All other terms of the agreement remain unchanged and are still subject to TSXV approval.

Cerrado Gold is a Toronto-based company engaged in gold production, development, and exploration. Its assets include the producing Minera Don Nicolás and Las Calandrias mines in Argentina, an 80% interest in the Lagoa Salgada VMS project in Portugal, and the 100% owned Mont Sorcier Iron project in Quebec, Canada. The company is focused on enhancing asset value at its Argentine operations through optimization and expanding production at its Las Calandrias heap leach project, while continuing exploration to discover further resources in the Deseado Massif region.

In Portugal, Cerrado is advancing the development and exploration of the Lagoa Salgada VMS project, situated on the Iberian Pyrite Belt. This high-grade polymetallic project exhibits typical mineralization of zinc, copper, lead, tin, silver, and gold, with significant exploration potential near the deposit and at step-out targets across the 7,209-hectare concession. The project’s proximity to Lisbon and existing infrastructure presents a low-cost entry for exploration and development, with demonstrated mineable scale and cash flow generation potential.

In Canada, Cerrado is developing the Mont Sorcier high-purity, high-grade Direct Reduced Iron (DRI) project. Located in the traditional Cree territory of Eeyou Istchee James Bay, this project has the potential for long-term, low-cost production of premium iron concentrate. The high-grade and purity of the product supports the steel industry’s transition from blast furnaces to electric arc furnaces, contributing to decarbonization and sustainable development goals.
