CAT Strategic Metals (CSE:CAT) Enters MOU for Rare Earth Project in Québec

Vancouver, British Columbia — January 13, 2026 — Leads & Copy — CAT Strategic Metals Corporation has entered into a Binding Memorandum Of Understanding (MOU) to acquire an exclusive right to earn a majority interest in a rare earth elements (REE) exploration project in Québec, Canada.

The Binding MOU, dated January 12, 2025, is with several private arm’s-length parties. It consolidates a large mineral claim package, giving CAT control over an emerging REE discovery in a prospective geological district.

Under the agreement, CAT can earn an 80% interest in the Project over five years, pending regulatory approvals.

The key terms include:

  • Issuing 33,000,000 common shares of CAT to the vendors.
  • Anniversary payments of CAD $175,000 per year for three years, payable in cash, shares, or a combination thereof.
  • Minimum exploration expenditures of CAD $500,000 over the option term.
  • Upon earning the interest, CAT will hold 80%, with the remaining 20% carried through to a production decision.
  • A one-time cash bonus of CAD $500,000 upon completion of a bankable feasibility study.
  • A 3.0% net smelter returns royalty, with partial buyback rights for CAT.

The Binding MOU will become a definitive option agreement upon regulatory approval. No finder’s fees are involved.

The Project, located about 80 km east of Kuujjuaq, consists of 95 claims totaling 4,330 hectares with confirmed rare earth element mineralization. Consolidating the claims allows CAT to conduct systematic exploration across the district.

The project includes the “Surivvik” mineral showing, where a sample collected in 2011 by the Ministry of Natural Resources and Wildlife of Quebec showed anomalous values of 2,349.49 ppm REE, 2.97% P2O5, 392 ppm Zn, 53 ppm Th and 1,442 ppm Sr (GM 58329). The showing is interpreted as an ultramafic to mafic intrusion associated with a hyperalkaline complex. The REE host rock, described as an ultramafic unit ranging from clinopyroxenite to gabbro, is enriched in magnetite and apatite, allanite, xenotime, and rare earth rich minerals, and crosscut by whitish granite injections. No exploration work has been conducted on the property since the showing discovery.

The Property also encompasses 3 major alkaline intrusion interpreted by the Ministry as a Syenite to Monzodorite intrusion locally comprising clinopyroxene blobs hosting sphene, apatite, allanite, and magnetite (BG 2020-07; RG 2013-04).

CAT believes the Project can host a scalable REE system, allowing for staged exploration, resource delineation, and development planning, contingent on exploration results.

Following regulatory approvals, CAT will finalize the option agreement and start a phased exploration program to expand REE mineralization across the Project area, with a grassroot exploration program as early as the summer season 2026 consisting of geological mapping and sampling work.
