Canadian Silver Hunter (TSXV:AGH.H) Completes $500,000 Private Placement

Canadian Silver Hunter Inc. (TSXV: AGH.H) has completed a non-brokered private placement, raising gross proceeds of $500,000.00. The company issued 7,142,857 units at $0.07 per unit, according to a press release dated February 26, 2026.

Each unit includes one common share and one common share purchase warrant. A warrant allows the holder to acquire one common share at $0.10 for twelve months following the Offering’s closing date.

The company intends to use the net proceeds from the sale of units for mineral exploration and development, as well as for general working capital.

All securities issued are subject to a four-month statutory hold period, expiring on June 27, 2026.

9558-7226 Québec Inc., controlled by Jean-David Moore and Annie Quimper (the Acquirors), acquired 1,000,000 Units through the Offering. Before the Offering, the Acquirors held 2,961,000 Common Shares, about 10.38% of the company’s outstanding shares. After the Offering, they control 3,961,000 Common Shares and 1,000,000 Warrants, representing approximately 11.11% of outstanding Common Shares on an undiluted basis and approximately 13.53% on a partially diluted basis.

The Acquirors’ acquisition is for investment purposes, and they may increase or decrease their holdings in the future based on market conditions.

Frank Guillemette acquired 3,485,657 Units through the Offering. Before the acquisition, Guillemette did not hold any shares of the Company. Following the completion of the Offering, Guillemette beneficially owns and controls 3,485,657 Common Shares and 3,485,657 Warrants, representing approximately 9.77% of the Company’s issued and outstanding Common Shares on an undiluted basis and approximately 17.81% on a partially diluted basis.

Guillemette’s acquisition is for investment purposes, and they may increase or decrease their holdings in the future based on market conditions.

Canadian Silver Hunter Inc. is a Canadian mineral exploration company focused on gold, silver, and copper exploration in Mexico and Canada.

The Offering was considered a “related party transaction” under Multilateral Instrument 61-101, due to the Acquirors being insiders of the Company. The company relied on exemptions from valuation and minority shareholder approval requirements, as the fair market value of the Acquirors’ participation did not exceed 25% of the company’s market capitalization.
