C21 Investments Announces Share Repurchase Program (CSE:CXXI)

C21 Investments Inc. (CSE: CXXI) (OTCQX: CXXIF) has announced its intention to commence a renewed normal course issuer bid (NCIB). The company may purchase up to 5,898,596 of its common shares, representing approximately 5% of the issued and outstanding common shares.

Purchases will be made over a 12-month period starting December 9, 2025, and ending December 9, 2026, through the facilities of the Canadian Securities Exchange (CSE) or alternative trading systems, at prevailing market prices and in accordance with CSE policies and Canadian securities laws. C21 will fund the purchases with cash on hand, but the exact timing and amount will depend on market conditions and other factors. The company is not obligated to acquire any common shares and may suspend or discontinue purchases at any time. All shares purchased under the NCIB will be cancelled.

Under the NCIB, C21 can buy up to 2% of its outstanding shares over any 30-trading day period. The company believes its common shares’ market price may not fully reflect the business’s value and prospects. Purchasing its own shares for cancellation is considered an appropriate strategy to increase long-term shareholder value and represents an appropriate use of financial resources.

Haywood Securities Inc. has been appointed as the broker for the NCIB transactions.

C21 recently concluded a normal course issuer bid (the “2025 NCIB”), which began on December 2, 2024, and expired on December 2, 2025. Under the 2025 NCIB, the company repurchased 224,000 common shares at approximately C$0.20 per share through the CSE.
