VICTORIA, BC — January 5, 2026 — Leads & Copy — Boron One Holdings Inc. (TSXV:BONE) has announced a non-brokered private placement aiming to raise up to $500,000 through the issuance of units priced at $0.05 each.
Each unit will comprise one common share and one common share warrant. The warrant allows the holder to acquire an additional common share for three years from the closing date. The exercise price is set at $0.05 in the first year, and $0.10 in the second and third years, subject to an acceleration clause.
According to the clause, Boron One has the option to accelerate the warrant’s expiry if the stock trades at $0.12 per common share during the initial exercise period and $0.22 per share during the subsequent period.
The company plans to compensate qualified finders who aid in selling the units, potentially through cash, securities, or a combination, in accordance with TSX Venture Exchange policy and securities laws.
Boron One intends to allocate the net proceeds from the private placement to meet working capital needs.
The private placement is contingent upon certain conditions, which include securing all necessary approvals, including the TSX Venture Exchange’s approval.
