Borealis Mining (TSXV:BOGO) Announces C$20 Million Private Placement Offering

VANCOUVER, BC — January 5, 2026 — Leads & Copy — Borealis Mining Company Limited (TSXV: BOGO) (OTC Pink: BORMF) (FSE: L4B0) has announced an agreement with Stifel Canada for a “bought deal” private placement offering to raise C$20,010,000.

Stifel Canada will act as sole bookrunner, leading a syndicate of underwriters for the offering of 13,340,000 common shares at C$1.50 per share. The shares will be offered and sold under the Listed Issuer Financing Exemption.

The underwriters have been granted an option to purchase an additional 2,001,000 common shares at the same price, exercisable up to 48 hours before the offering closes.

Borealis intends to use the net proceeds to advance its gold projects in Nevada and for general working capital.

The common shares will be offered to purchasers in all Canadian provinces except Quebec, in compliance with National Instrument 45-106. The shares may also be offered in the United States and other jurisdictions via private placement, adhering to applicable laws.

The offering is expected to close around January 15, 2026, pending regulatory approvals and acceptance by the TSX Venture Exchange.

The underwriters will receive a cash commission of 6.0% of the gross proceeds, along with compensation warrants equal to 6.0% of the shares sold. Each warrant allows the holder to buy a common share at the issue price for 24 months from the issue date.

Borealis is focused on gold mining and exploration, particularly the Borealis Mine and the Sandman project in Nevada.
