The debt settlement, previously announced on January 23, 2026, involved issuing shares at a deemed price of $0.45 per share.
The settled debt included a principal amount of $2,600,000 and $104,000 in accrued interest from 8% convertible debentures issued on December 7, 2022.
In facilitating the debt settlement, BioNxt issued 300,444 common shares to Canaccord Genuity Corp. The compensation shares were priced at $0.63 each.
The debt shares and compensation shares are subject to a statutory four-month and one-day hold period, adhering to Canadian securities laws.
