Bighorn Metals (TSX-V:BRON) Closes Private Placement and Debt Settlement

VANCOUVER, BRITISH COLUMBIA — February 24, 2026 — Leads & Copy — Bighorn Metals Corp. (TSX-V:BRON) has announced the closing of a non-brokered private placement and a settlement of indebtedness.

The private placement, referred to as the “Offering,” involved the issuance of 8,000,000 units at a price of $0.05 per unit, resulting in aggregate proceeds of $400,000. Each unit includes one common share of Bighorn Metals and one transferable common share purchase warrant.

Each warrant allows the holder to acquire one additional common share of the company at a price of $0.10 for a period of four years from the offering’s closing date.

The net proceeds from the offering will be allocated for general working capital purposes. No finder’s fees were paid out during the offering.

In a separate transaction, Bighorn Metals completed a debt settlement by issuing 1,500,000 units at a deemed price of $0.05 per unit. This settled outstanding debts totaling $75,000 owed to an arm’s-length creditor for unpaid invoices. The units issued in the debt settlement have the same terms and conditions as those issued under the offering.

All securities issued in connection with the offering and debt settlement are subject to a statutory hold period of four months and one day from the applicable closing date, as per Canadian securities laws.

Bighorn Metals Corp. holds an option to acquire the Loljuh Property, located in the Omineca Mining Division of British Columbia. The property consists of one claim covering 1,656.73 hectares, situated 40 km south of Smithers or 29 km west of Houston. The property is considered prospective for porphyry copper-gold mineralization.

Geochemical work in 2019 identified several areas with anomalous gold and copper in soil. Rock sampling during the same year also yielded anomalous values of copper and gold from multiple sites within the plateau area. An aeromagnetic survey indicated several areas of alteration.

The company recently conducted ground mapping, geological prospecting and sampling on the property, including a 50 x 50-meter grid over the plateau area, a 25 x 50-meter grid over the Loljuh area, and a 25 x 25-meter grid over the Bornite Zone.
