Battery X Metals (CSE:BATX) to Sell Belanger Gold and Copper Project

VANCOUVER, BRITISH COLUMBIA — February 11, 2026 — Leads & Copy — Battery X Metals Inc. has entered into a definitive agreement to sell its 100% interest in the Belanger gold and copper exploration project in Ontario.

The sale is part of the company’s strategy to streamline its exploration portfolio and align with its focus on the battery metals value chain. The transaction includes near-term consideration and retained upside through equity participation.

According to the agreement, Battery X Metals will receive cash and common shares of the Purchaser. The company will receive C$10,000, payable in two installments. The first installment of C$5,000 is payable within five days of the agreement’s execution, with the remaining C$5,000 due on closing.

Additionally, Battery X Metals will receive common shares of the Purchaser with an aggregate deemed value of C$5,000. The number of shares will be determined by dividing C$5,000 by the closing price of the Purchaser’s common shares on the TSX Venture Exchange on the agreement’s execution date, rounded down to the nearest whole share.

Closing of the transaction is subject to customary conditions, including approval from the TSXV. The company anticipates the closing to occur within three business days of receiving the necessary approvals, and no later than March 31, 2026.

Upon closing, the Purchaser will acquire all exploration data, technical information, and related property rights associated with the Project. The Consideration Shares to be issued to the Company will be subject to a statutory hold period expiring four months and one day from the date of issuance.

Battery X Metals also announced an increase to the budget for its corporate awareness engagement with bullVestor Medien GmbH. The budget increase, amounting to €80,000 (approximately CAD $129,000), will support marketing services for three months, starting November 21, 2025.

bullVestor is responsible for strategic planning, procurement, and implementation of native advertising campaigns across premium financial advertising networks. The goal is to increase awareness of Battery X Metals among the German investment community. With the latest increase, the total fees paid to bullVestor will be €310,000.

Battery X Metals is focused on battery-focused exploration, lithium-ion battery rebalancing technologies, and battery materials recycling. The company aims to play a role in the global energy transition.
