Bakkt (NYSE:BKKT) Files Amendments with SEC Following Corporate Structure Change

NEW YORK, Dec. 10, 2025 — Leads & Copy — Bakkt Holdings, Inc. (NYSE:BKKT) has announced the filing of post-effective amendments to its registration statements on Form S-3 with the U.S. Securities and Exchange Commission (SEC). These amendments include the shelf registration statement initially submitted in June 2025.

The filings were required due to Bakkt’s recent move to eliminate its umbrella partnership-C corporation structure, transitioning to a single class of common stock. According to the company, no additional securities are being registered through these post-effective amendments.

While the post-effective amendments have been submitted to the SEC, the registration statements they amend have not yet been declared effective by the SEC. Bakkt stated this press release does not constitute an offer to sell or solicit an offer to buy any securities. The company also stated there will be no sale of these securities in any state or jurisdiction where such an offer, solicitation, or sale would be unlawful.

Bakkt, founded in 2018 and headquartered in New York, aims to develop the financial infrastructure of the future. The company offers solutions that facilitate institutional engagement in the digital asset economy, covering Bitcoin, tokenization, stablecoin payments, and AI-driven finance. Bakkt says it provides the scale, security, and regulatory compliance necessary for global institutions.
