Toronto, Ontario — December 17, 2025 — Leads & Copy — Auriginal Mining Corp. (TSXV: AUME) has completed its non-brokered private placement, raising approximately C$4,798,542. This follows their press release from November 18, 2025.
Four company insiders participated in the offering, contributing $165,500. This participation is considered a related party transaction under Multilateral Instrument 61-101, but the company relied on exemptions because the value of securities issued to insiders did not exceed 25% of the company’s market capitalization.
The offering included 2,221,428 regular units at C$0.07 each, 36,164,752 flow-through shares at C$0.09 each, and 12,071,429 charity flow-through units at $0.115 each. Each charity flow-through unit contains one common share and one-half of a common share purchase warrant, both qualifying as “flow-through shares”. Each warrant allows the holder to buy one common share at C$0.12 for 24 months after the offering closes. Each regular unit includes one common share and one-half of a common share purchase warrant, with each warrant exercisable for one common share at C$0.12 for 24 months after closing.
The issued securities are subject to a four-month hold period under securities laws.
The company plans to use the proceeds from the flow-through shares and charity flow-through units for “Canadian exploration expenses” that qualify as “flow-through critical mineral mining expenditures” on its Roger Project in Quebec. These expenses will be incurred by December 31, 2026, and the company will renounce these expenditures in favor of the subscribers by December 31, 2025.
In connection with the offering, the company paid finders’ fees of up to $219,257 in cash and issued up to 2,311,353 non-transferable warrants. Of the Finder’s Warrants, 1,712,928 are exercisable at $0.09, and 598,425 are exercisable at $0.12, each for a period of 24 months following the closing date of the Offering.
The Finder’s Warrants are subject to a four-month hold period under applicable securities laws. Final satisfaction of the finder’s fees is subject to TSX Venture acceptance.
