AngloGold Ashanti Invests in Thesis Gold (TSXV:TAU), Centerra Gold Participates

VANCOUVER, BC — February 19, 2026 — Leads & Copy — Thesis Gold Inc. has announced that AngloGold Ashanti Plc will acquire 5% of the company’s issued and outstanding common shares through a subscription agreement.

AngloGold Ashanti will purchase 13,858,883 common shares at $2.79 per share, resulting in gross proceeds of $38,666,284. The price reflects the volume weighted average of the common shares traded on the TSX Venture Exchange on February 18, 2026.

Centerra Gold Inc. also intends to exercise its right to participate in financings to maintain its pro rata ownership in Thesis Gold. Centerra will acquire 2,059,730 common shares at $2.79 per share, for gross proceeds of $5,746,647. This will bring Centerra’s ownership to 9.9% of the outstanding common shares at closing.

The company plans to use the proceeds from both subscriptions for working capital and general corporate purposes, including work related to technical studies at the Lawyers-Ranch gold-silver Project.

The closing of both the AngloGold Ashanti subscription and the Centerra subscription is anticipated around February 26, 2026, pending customary closing conditions and TSXV approval. Gross proceeds from the issuances to AngloGold Ashanti and Centerra will total approximately $44,412,931. All figures are in CAD unless otherwise stated.

The issued common shares will be subject to a statutory hold period of four months and one day from the closing date, as per Canadian securities legislation. No commissions or finder’s fees will be paid regarding either subscription.

Thesis Gold Inc. is focused on its Lawyers-Ranch Gold/Silver Project in British Columbia’s Toodoggone Mining District. A Prefeasibility Study outlined project economics, including a 54.4% after-tax IRR and an after-tax NPV5% of C$2.37 billion (at US$2,900/oz Au and US$35/oz Ag). The Company has commenced the Environmental Assessment Process and plans to initiate a Feasibility Study in 2026.
