AmeriTrust Financial Technologies (TSXV:AMT) Closes First Tranche of Brokered Offering, Securing $36.18 Million

AmeriTrust Financial Technologies Inc. (TSXV:AMT)(OTCQB:AMTFF)(Frankfurt:1ZVA) has closed the first tranche of its previously announced brokered offering, raising gross proceeds of $36,187,200.

The fintech platform, which targets automotive finance, issued Debenture Units and Life Units in the offering. The second tranche is anticipated to close around January 6, 2026, pending final acceptance by the TSX Venture Exchange (TSXV).

The company intends to use the net proceeds to support the restart of lease originations in the first quarter of 2026, funding both “flow” and “haircut capital” under facilities entered into by a bankruptcy remote trust established by the company, and for working capital purposes.

The first tranche involved the private placement of 20,850 Debenture Units at $1,000 each, totaling $20,850,000. Each Debenture Unit included one senior unsecured convertible debenture with a principal amount of $1,000 and approximately 11,765 common share purchase warrants.

The debentures will mature five years from the closing date and bear interest at 8% per annum, payable quarterly in arrears starting March 31, 2026. Each warrant allows the holder to purchase one common share at $0.12, starting 60 days after the closing date and extending for 60 months, subject to accelerated expiry under certain trading conditions.

AmeriTrust also issued 306,744,000 Life Units at $0.05 each, generating gross proceeds of $15,337,200. Each Life Unit consisted of one common share and one warrant. The warrants have the same terms as those issued with the Debenture Units.

The LIFE Offering was conducted under the “listed issuer financing exemption” as defined by Canadian securities regulations.

Clarus Securities Inc. and Cormark Securities Inc. served as co-lead agents for the offering. The company paid the agents a cash commission of $1,264,740.00 and issued 14,878,000 common share purchase warrants. Each broker warrant entitles the holder to acquire one common share at C$0.05 until December 23, 2027.

Certain insiders of the company participated in the first tranche of the offering. The insider participations in the offering constitute a “related party transaction” within the meaning of Multilateral Instrument 61-101. The company was exempt from certain requirements of MI 61-101.

The Debenture Units and Broker Warrants are subject to a statutory hold period until April 24, 2026. The Life Units are not subject to a statutory hold period.

An option remains for the agents to issue additional Debenture Units, LIFE Units, or a combination, for up to $6,000,000 in additional proceeds, with a maximum of $1,980,000 for additional LIFE Units.
