TORONTO, January 13, 2026 — Leads & Copy — Altus Group Limited (TSX: AIF) announced it has purchased 2,855,696 of its common shares at C$57.00 per share under its substantial issuer bid (SIB). The total purchase price amounted to approximately C$162.77 million.

The shares represent about 6.61% of Altus Group’s issued and outstanding shares as of January 8, 2026. Following the SIB, Altus Group will have approximately 40,371,564 shares issued and outstanding.

TSX Trust Company, the depositary for the SIB, reported that 6,561,903 shares were validly tendered and not withdrawn. Altus Group purchased 2,594,032 shares through auction tenders and purchase price tenders.

As the total value of shares tendered was less than the total Altus Group could have purchased under the SIB, all validly deposited shares were purchased, and no proration was required. An additional 261,664 shares were purchased through proportionate tenders.

Payment and settlement for the purchased shares will be completed by the Depositary on or around January 15, 2026, according to the SIB and applicable law. Any shares not purchased, including those invalidly tendered, will be returned to shareholders promptly.

Details of the SIB are available in the offer to purchase and issuer bid circular dated November 26, 2025, along with related documents, on SEDAR+ at www.sedarplus.ca.

Altus Group estimates the paid-up capital per share to be approximately C$17.84 for Canadian income tax purposes. Shareholders who sold shares under the SIB will be deemed to have received a taxable dividend equal to the difference between the Purchase Price and the paid-up capital per share. The dividend is designated as an “eligible dividend” under the Income Tax Act (Canada).

The “specified amount” for subsection 191(4) of the Income Tax Act (Canada) is C$55.75, the closing trading price for the shares on the TSX on January 8, 2026.

Shareholders are advised to consult their own tax advisors regarding the income tax consequences of selling their shares under the SIB.
