Altus Group (TSX:AIF) Announces Preliminary Results of Substantial Issuer Bid

TORONTO, ON — January 9, 2026 — Leads & Copy — Altus Group Limited (TSX: AIF) announced the preliminary results of its substantial issuer bid (SIB) on Thursday, stating it expects to purchase approximately 2,849,643 common shares at C$57.00 per share.

The offer, which expired January 8, 2026, allowed Altus Group to purchase shares for cancellation at a price between C$50.00 and C$57.00 per share, up to an aggregate of C$350 million.

According to the preliminary calculations of TSX Trust Company, the depositary for the SIB, the purchase will represent an aggregate price of approximately C$162.43 million, or 6.59% of the company’s issued and outstanding shares before giving effect to the SIB, on a non-diluted basis. Approximately 60,000 shares were tendered through guaranteed delivery notices.

A total of 6,561,903 shares were validly tendered and not withdrawn, including those shares tendered through proportionate tenders. None of Altus Group’s directors or executive officers participated in the SIB.

Because the total value of shares tendered was less than the total the company could have purchased under the SIB, all validly deposited and not withdrawn shares will be purchased in accordance with the terms of the SIB, with no proration required. Shareholders who made valid proportionate tenders will have shares purchased to maintain their same share ownership percentage as prior to the SIB’s completion, subject to rounding to avoid purchasing fractional shares. Approximately 255,611 shares are anticipated to be taken up and purchased through proportionate tenders.

After the SIB, Altus Group anticipates having approximately 40,377,617 shares issued and outstanding, net of 79,328 escrowed shares.

The number of shares expected to be purchased, the purchase price, and the aggregate purchase price are preliminary and subject to verification by the Depositary. Altus Group will release the final results upon take up and payment of the purchased shares, which will be made per the offer’s terms and applicable law.

Altus Group did not elect to extend the SIB, which expired at 5:00 p.m. (Toronto time) on January 8, 2026.

Details regarding the SIB are available in the offer to purchase and issuer bid circular dated November 26, 2025, and related documents, filed on SEDAR+ at www.sedarplus.ca.
