VANCOUVER, British Columbia — February 18, 2026 — Leads & Copy — Aldebaran Resources Inc. has closed its previously announced private placement offering, issuing 1,538,462 common shares at $3.25 per share, raising gross proceeds of $5,000,001.50.
The shares are subject to a statutory hold period until June 18, 2026.
The offering was connected to the LIFE Offering, which closed on February 5, 2026. Between the two offerings, Aldebaran issued 13,923,157 common shares for total gross proceeds of $45,250,260.50.
Funds controlled by Route One Investment Company LLC, Aldebaran’s largest shareholder, acquired the 1,538,462 common shares, constituting a “related party transaction” under Multilateral Instrument 61-101. Aldebaran relied on exemptions from formal valuation and securityholder approval requirements, as the offering’s fair market value was not more than 25% of the company’s market capitalization.
A material change report was not filed 21 days before closing because Route One’s participation details were finalized shortly before closing. More information is in the material change report dated February 11, 2026, on the company’s profile at www.sedarplus.ca.
Aldebaran plans to use the net proceeds to complete a prefeasibility study on its Altar copper-gold project in San Juan province, Argentina, and for general working capital.
The securities have not been and will not be registered under the U.S. Securities Act of 1933 or any U.S. state securities laws and may not be offered or sold in the United States absent registration or available exemptions. This news release is not an offer to acquire securities in any jurisdiction.
John Black, Chief Executive Officer and Director, signed the release on behalf of the Aldebaran Board.
