Abitibi Metals Corp. (CSE:AMQ) Files Final Prospectus for Offering

London, Ontario — December 9, 2025 — Leads & Copy — Abitibi Metals Corp. has filed a final short form prospectus in each of the provinces of Canada to qualify the distribution of securities related to its previously announced bought-deal offering, which is led by BMO Capital Markets.

The offering includes 11,430,000 common shares priced at $0.35 each, resulting in gross proceeds of $4,000,500, and 17,550,000 flow-through shares priced at $0.57 each, resulting in gross proceeds of $10,003,500. The total gross proceeds for Abitibi Metals Corp. are expected to be $14,004,000.

BMO Capital Markets is serving as the sole bookrunner and lead underwriter for the offering. Haywood Securities Inc. is acting as co-lead manager, and ATB Securities Inc., Desjardins Securities Inc., Paradigm Capital Inc., and Stifel Nicolaus Canada Inc. are collectively serving as underwriters.

The closing of the offering is anticipated to occur around December 16, 2025, and is subject to standard closing conditions and regulatory approvals.

The underwriters have been granted an over-allotment option, which is exercisable within 30 days of the closing date. This option allows them to purchase up to 4,347,000 additional common shares or flow-through shares at the offering prices, covering over-allotments or market stabilization, with the number of additional securities not exceeding 15% of the base offering.

Purchasers of the flow-through shares may donate or sell these shares to purchasers arranged by the underwriters at a price of $0.35 per share, referred to as the Redistributed Shares. The flow-through qualification applies only to the original subscriber, allowing Abitibi Metals Corp. to renounce Canadian exploration expenses to them. The Final Prospectus qualifies the distribution of the Flow-Through Shares as well as the subsequent distribution of the Redistributed Shares on the Closing Date or the closing date for the Over-Allotment Option, as applicable.
